1. Quotations
A quotation is based on the information, files, quantity, material, preparation, checks and delivery requirement identified in it. It is normally valid for 30 days. A change may require a revised price and production date.
2. Approval, production and project-specific terms
No production begins until the quotation, referenced file or approved drawing revision, material and any prototype or approval requirement have been accepted. Customer approval confirms that the identified revision and scope are the ones required.
The written quotation, any approved revision and these Terms form the order record. An accepted NDA, confidentiality restriction, exclusivity arrangement, intellectual-property assignment, prohibition on evidence or photography, non-use restriction, ring-fenced development requirement, non-standard cabinetry construction requirement, customer-supplied production file or Wood to Spec-prepared cabinetry approval drawing applies only where it is recorded in the written quotation or another written agreement. These website Terms remain the default where no project-specific restriction is agreed.
3. Customer responsibilities and submitted material
The customer must provide accurate information and the functional, safety and compliance requirements relevant to the requested work. The customer confirms that they have the right or authority to supply and authorise Wood to Spec to use the files, designs, branding, drawings, photographs, models, measurements and other project material they submit for the quoted purpose.
This confirmation does not require the customer to warrant that every general idea or mechanical principle is unique. Wood to Spec does not certify the suitability of a customer design or the finished product and does not carry out an intellectual-property search unless a specific written service has been agreed.
4. Materials and process variation
Sheet material has natural and manufacturing variation in thickness, flatness, face appearance and internal quality. The quotation may define an agreed grade or selection standard. Customer-supplied material is used at the customer’s risk and may require test cutting.
FDM-printed prototypes can show layer lines, support or contact marks and dimensional variation associated with material, geometry and print orientation. Any specific surface, dimensional or checking requirement must be identified and included in the written quotation.
5. Dimensions and tolerances
General machine capability is not a substitute for an agreed tolerance or fit requirement. Critical dimensions, fits, clearances, mating parts and their acceptance method must be identified before approval. Material movement, cutter condition, print orientation and post-production handling can affect the result.
For printed prototypes, the customer must identify critical interfaces and clearances. Supply-only cabinetry is manufactured to the final approved production drawing and dimensions. Wood to Spec may prepare the cabinetry production files and approval drawing from customer-supplied size and layout information, but the customer must check and approve those dimensions and that layout before production. Approval does not mean Wood to Spec has measured or verified the installation site.
6. Functional 3D-printed prototypes
An FDM print is a development prototype unless the quotation explicitly states another agreed purpose. The customer must identify the intended use, mating parts, expected loads, heat, environmental conditions and any safety or compliance requirement relevant to the design.
Material, orientation, supports, surface expectation, dimensional checks and assembly are included only where stated in the quotation. Wood to Spec does not certify a customer design or prototype for regulatory, structural, safety-critical or production use unless a specific written verification service has been agreed.
7. Supply-only cabinetry
For normal Wood to Spec construction, the customer can begin by supplying the required dimensions, layout, finish and hardware information. Wood to Spec may prepare the manufacturing files and approval drawing from that information. A customer-supplied production file is only normally required where the project uses non-standard construction, specific geometry, special hardware positions or another detail that must be followed.
Production begins only after the customer approves the final drawing, dimensions and quoted scope. Wood to Spec does not provide site survey, site measurement, scribing, fitting, installation, building, electrical or plumbing work.
The customer or installer is responsible for checking site dimensions, clearances, access, wall and floor irregularities, fixing method, installation and suitability for the intended site. Where the customer supplies a non-standard drawing or production file, the customer remains responsible for confirming the intended construction, dimensions, interfaces and site suitability.
Finish, preparation, hardware, assembly, packaging and delivery are included only where the written quotation says they are included. Changes after drawing approval may require a revised quotation and production date.
8. Payment
A 50% deposit is required when the quotation is accepted. The remaining balance must be paid before dispatch.
9. Cancellation and changes
Work already completed, ordered material, non-refundable services and committed production time remain chargeable if an order is cancelled or changed. Bespoke parts cannot normally be resold.
10. Inspection and defects
The customer should inspect the supplied work promptly. A claim should identify the order, affected quantity, issue and supporting photographs or measurements. Wood to Spec may repair, remake, refund the affected part or offer another reasonable remedy after assessment.
11. Delivery
Risk passes according to the delivery term in the quotation. Planned dates can change because of material supply, clarification, reapproval or events outside reasonable control. Carrier damage must be reported promptly with packaging retained.
12. Intellectual property and production files
The customer retains rights in customer-supplied designs. Production files created by Wood to Spec remain Wood to Spec working materials unless transfer is expressly included. Nothing in these Terms silently transfers either party’s existing intellectual property or automatically assigns newly created production files.
13. Confidentiality, general know-how and similar solutions
Wood to Spec will take reasonable steps to protect customer-supplied project files, drawings, exact dimensions, commercial information and other customer-specific information that is confidential by its nature or expressly identified as confidential. Wood to Spec will not intentionally disclose that customer-specific confidential information to another customer.
Confidentiality does not apply to information that Wood to Spec can demonstrate was already lawfully known, was publicly available without a breach of confidentiality, was lawfully received from another source, or was independently developed without using the customer’s confidential information.
Wood to Spec works on projects for multiple customers. Different customers may present similar requirements, constraints or manufacturing problems, and those requirements may independently lead to similar designs, mechanisms, construction details, techniques or production methods.
Unless a specific restriction is agreed in writing before the relevant information is disclosed or the development work begins, a quotation or order does not give the customer exclusivity over general ideas, functions, technical principles, manufacturing approaches, workshop techniques, mechanical methods, construction methods, tooling strategies, processes, jigs, fixtures, skills or know-how.
Wood to Spec may continue to use its existing and independently developed skills, experience, standard processes, workshop methods and non-customer-specific know-how when working for other customers. Wood to Spec may also reuse a general technique, construction method, manufacturing method or mechanical principle developed during a project where doing so does not disclose or reproduce the customer’s protected design, exact project data, branding, confidential commercial information or other customer-specific confidential material.
Wood to Spec does not guarantee that an idea, mechanism, technique, construction method, manufacturing method, design feature or proposed solution supplied by or developed for a customer is unique, novel or exclusive. Another customer, Wood to Spec or a third party may already have independently arrived at, or may later independently arrive at, a similar or identical solution. Similarity alone does not mean that one customer’s confidential information has been disclosed or copied.
Nothing in this section transfers ownership of existing intellectual property, authorises the copying of a protected design, permits infringement of an applicable intellectual-property right, or overrides an agreed non-disclosure agreement, exclusivity provision or other written restriction.
Unless expressly included in the written quotation, Wood to Spec does not carry out patent, registered-design, prior-art or freedom-to-operate searches. Wood to Spec does not warrant that a customer’s idea or a proposed solution is patentable, registrable, free from third-party rights or unavailable to others.
A customer requiring a non-disclosure agreement, exclusive development, assignment of newly created intellectual property, ring-fenced working arrangements, or restrictions on the future use of general techniques, methods or know-how must identify that requirement before disclosing the affected information and must obtain Wood to Spec’s written agreement. Additional restrictions may affect whether the project can be accepted and may change its scope, price and delivery timing.
14. Liability
Nothing excludes liability that cannot lawfully be excluded. Subject to that, liability connected with an order is limited to the amount paid for the affected order, and indirect or consequential business losses are excluded to the extent permitted by law.
15. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory consumer rights.
